Cayman Islands: Court of Appeal Overturns Paper Winding-Up in 1MDB Fraud Dispute (In re PetroSaudi International)

The Cayman Islands Court of Appeal (CICA) has handed down its decision in In the Matter of PetroSaudi International [2026] CICA (Civ) 14. The appeal arose in connection with international recovery efforts surrounding the 1MDB sovereign wealth fund fraud, where liquidators sought to wind up PetroSaudi International (PSI)—a Cayman exempted company controlled by Mr Tarek Obaid—on allegations of laundering over US$1.8 billion in stolen funds.

At first instance, two Grand Court judges had permitted the winding-up petition to be determined administratively on the papers, dispensing with notice, advertisement, and an oral hearing to prevent potential "tipping off".

The CICA overturned the first-instance decisions, establishing vital procedural boundaries:

  • No Administrative Winding-Up: The CICA held that a winding-up order is amongst the most consequential judicial remedies available and the Grand Court has no jurisdiction to wind up a company without notice or an oral hearing. Due process requires that petitions be duly served and advertised prior to final relief.

  • Contingent Creditor Standing: The Court confirmed that a party alleging unliquidated damages arising from an unlawful means conspiracy can qualify as a "contingent creditor" for standing purposes, defining a contingent creditor as a party to whom the company may become subject to a present liability upon the happening of a future event.

  • Investigation as Free-Standing Ground: The CICA confirmed that the "need for an investigation" remains a valid, free-standing basis for winding up a company on just and equitable grounds, provided the petitioning party possesses threshold standing.
